Schneider Electric Agrees to Buy U.S. Software Firm PTC for $22.6 Billion

A French buyer, a U.S. target

Paris, 5 October 2026. Schneider Electric agreed to buy U.S. software company PTC in an all-cash deal valuing PTC's equity at about $22.6 billion, Reuters reported.

PTC shares jumped 35.7 percent before the U.S. open. PTC sells design and product-lifecycle software used by manufacturers. Schneider sells the equipment those factories run.

What still has to happen

The agreement needs regulators and PTC shareholders. It is the largest French corporate move of the Monday session.

Schneider is betting that factory software is more valuable inside the same group as the hardware. The premium in the share price says traders expect the bid to stick.
